THE STUDY AT SECOND STORY
MEMBERSHIP AGREEMENT AND TERMS AND CONDITIONS
Effective Date: August 27, 2026
This Membership Agreement and Terms and Conditions (“Agreement”) is entered into between DJJ LG15 LLC, a California limited liability company doing business as The Study at Second Story (“The Study,” “we,” “us,” or “our”), and the individual enrolling as a member (“Member” or “you”).
By purchasing or using a membership, accessing the premises, or electronically accepting this Agreement, you acknowledge that you have read, understood, and agreed to be bound by its terms.
1. Membership
Membership provides a personal, limited, revocable, nonexclusive, and nontransferable license to access and use designated areas of The Study at Second Story during authorized membership hours, subject to this Agreement and all posted or communicated rules. Membership does not provide the Member with a dedicated desk, reserved seat, private office, meeting room, storage area, mailing address, business address, or guaranteed workspace unless separately agreed to in writing. Memberships may not be transferred, shared, resold, or used by anyone other than the registered Member. The Study may require identification or an active digital or physical access credential before permitting entry.
2. Membership Hours and Availability
Standard membership access is currently expected to be available from 9:00 a.m. to 5:00 p.m., Monday through Friday, excluding holidays, scheduled closures, private events, emergencies, maintenance periods, and other operational closures.
Operating days and hours are subject to change. The Study may temporarily close, open late, close early, restrict access to certain areas, or adjust operating hours for: Private buyouts or special events; Holidays; Repairs, cleaning, maintenance, or improvements; Staffing or operational needs; Safety, security, licensing, or regulatory reasons; Utility, internet, equipment, or building failures; Emergencies, government orders, or circumstances beyond our reasonable control; or Other legitimate business needs.
The Study will provide advance notice of planned closures or material schedule changes when reasonably practical. Notice may be provided by email, text message, member portal, website, social media, or posted notice at the premises. Occasional closures, special-event buyouts, shortened days, schedule adjustments, and temporary restrictions do not entitle the Member to a refund, credit, extension, or prorated membership fee, except where required by applicable law. The Study does not guarantee uninterrupted access, the availability of a particular seat, or any minimum number of operating hours during a billing period.
3. Monthly Fees and Automatic Renewal
Membership is billed monthly at the price disclosed during enrollment, plus any applicable taxes or fees.
YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW EACH MONTH, AND THE PAYMENT METHOD ON FILE WILL AUTOMATICALLY BE CHARGED THE APPLICABLE MONTHLY MEMBERSHIP FEE, UNLESS YOU CANCEL BEFORE YOUR NEXT BILLING DATE.
By enrolling, you expressly authorize DJJ LG15 LLC and its payment processor to charge your selected payment method on a recurring monthly basis until cancellation or termination. You are responsible for keeping your payment and contact information current. If payment is declined, The Study may retry the charge, suspend access, and require payment of the outstanding balance before restoring access.
Membership fees are separate from food, beverages, merchandise, event tickets, parking, or other products and services purchased at the premises.
4. Cancellation and No Proration
Membership is month-to-month and may be canceled at any time. Cancellation will stop future automatic renewals and will become effective at the end of the Member’s then-current paid billing period. The Member will continue to have membership access through that date unless access is suspended or terminated for cause.
MONTHLY MEMBERSHIP FEES ARE NONREFUNDABLE AND WILL NOT BE PRORATED FOR PARTIAL MONTHS, UNUSED DAYS, MEMBER ABSENCES, TRAVEL, SCHEDULE CHANGES, OR OCCASIONAL CLOSURES.
To avoid the next monthly charge, the Member must complete cancellation before the next scheduled billing date. Cancellation requests received after a renewal charge has been processed will apply to the following billing period, unless otherwise required by law.
Members who enroll online may cancel online through the cancellation link or account-management method provided during enrollment. Members may also cancel by emailing [CANCELLATION EMAIL] or through any other cancellation method identified in their enrollment confirmation. The Study will not require a Member to visit the premises in person to cancel a membership purchased online.
5. Founding Memberships and Deposits
If a Member enrolls under a founding-member promotion, the promotional price and any related benefits will be governed by the terms disclosed when the Member enrolls.
Any founding-member deposit will be handled in accordance with the written offer presented at the time of payment. If the offer states that the deposit is refundable and will be credited toward the Member’s first month, the deposit will be:
Applied to the first monthly membership charge when membership begins; or Refunded if the Member cancels the founding membership reservation before the applicable deadline or if The Study does not open, subject to the terms of the founding-member offer.
A Member who receives a promotional or founding-member rate may lose that rate after cancellation, failed payment, termination, or lapse in membership. Re-enrollment will be subject to the pricing and availability then in effect.
6. Guest Privilege
Each Member may bring one guest on one occasion per calendar month, unless The Study communicates a different guest policy in writing.
Guest privileges are subject to the following conditions:
The Member must be present with the guest throughout the visit. A guest may not enter or remain at the premises without the sponsoring Member. The guest must check in as directed and may be required to provide identification and sign a guest waiver.
Guest access is subject to capacity, private events, closures, and management approval. Guest privileges do not accumulate, carry over, or have cash value. A Member may not use rotating guests to provide another person with recurring workspace access.
A guest may not independently use the Member’s access credential. The guest must comply with this Agreement and all house rules. The Study may refuse or revoke guest access at any time. The sponsoring Member is responsible for the guest’s conduct and for any loss, damage, claim, expense, or violation caused by the guest. Serious or repeated guest-policy violations may result in suspension or termination of the sponsoring Member’s membership. Each adult guest should separately sign The Study’s guest acknowledgment and liability waiver before entering.
7. Access Credentials and Building Security
Any key card, fob, mobile credential, QR code, or other access credential issued to a Member is personal to that Member and may not be shared, copied, transferred, photographed for another person, or used to admit unauthorized individuals.
Members may not hold or prop open secured doors or allow unknown individuals to follow them into the premises. Lost or compromised credentials must be reported immediately. Replacement fees may apply.
The Study may deactivate access credentials immediately upon cancellation, expiration, failed payment, suspension, termination, or suspected misuse. Access-control systems and security cameras may record entry activity and activity in common areas for safety, security, operational, and loss-prevention purposes. Cameras will not be placed in restrooms or other areas where there is a reasonable expectation of privacy.
8. Workspace Conduct
Members and guests must conduct themselves professionally, respectfully, and safely. Prohibited conduct includes:
Harassment, discrimination, threats, intimidation, violence, or disruptive behavior;
Excessive noise, speakerphone use, or calls that materially interfere with others;
Illegal activity or use of the premises for an unlawful purpose;
Smoking, vaping, or using illegal drugs on the premises;
Bringing weapons or hazardous materials onto the premises;
Damaging, misusing, altering, or removing furniture, equipment, artwork, or other property;
Photographing or recording others without their consent;
Accessing staff-only, restricted, or event-only areas;
Soliciting other members in an aggressive, repeated, or unwanted manner;
Creating offensive odors, unsanitary conditions, or unreasonable safety risks;
Sleeping overnight or using the premises as a residence;
Using the premises for manufacturing, inventory storage, retail operations, or activities requiring permits not held by the Member; or
Engaging in conduct that interferes with Second Story’s hospitality operations or the experience of other members and guests.
The Study may adopt and update reasonable house rules. Members must comply with posted rules and reasonable instructions from staff.
9. Alcohol, Food, and Beverages
Food and beverages may be available for separate purchase and are not included in the membership fee unless expressly stated otherwise.
Alcohol may be purchased, served, and consumed only in accordance with applicable law and the premises’ alcoholic-beverage license. Members and guests must be at least 21 years old and present valid government-issued identification to purchase or consume alcohol.
The Study may refuse alcohol service to any person and may remove or arrange safe transportation for anyone who appears intoxicated, disruptive, or unsafe.
Members and guests may not bring outside alcohol onto the premises unless expressly authorized in writing. Members remain solely responsible for their alcohol consumption, transportation decisions, and compliance with applicable law. No one may drive after consuming alcohol if impaired.
10. Personal Property
Members and guests are responsible for their own laptops, phones, bags, vehicles, documents, equipment, and other belongings.
The Study does not accept responsibility for lost, stolen, misplaced, or damaged property, except to the extent liability cannot lawfully be excluded. Items left unattended are left at the owner’s risk.
The Study may dispose of or donate unclaimed property after a reasonable holding period. Members may not leave property overnight without prior written authorization.
11. Internet and Technology
Internet access may be made available as a convenience, but uninterrupted availability, speed, security, compatibility, or fitness for a particular purpose is not guaranteed.
Members are responsible for securing their own devices, accounts, communications, and data. Members should use appropriate passwords, encryption, backups, virtual private networks, and other security measures.
Members may not use the network to:
Violate any law or third-party right;
Access, transmit, or distribute unlawful or malicious content;
Send spam or engage in fraudulent activity;
Introduce malware or interfere with the network;
Attempt unauthorized access to systems, devices, or accounts; or
Consume excessive bandwidth in a manner that disrupts service for others.
The Study may restrict or suspend network access to protect its systems, operations, or users.
12. Confidentiality and Privacy of Others
The Study is a shared environment. Members should not expect conversations, telephone calls, screens, or documents to remain private.
Each Member is responsible for protecting their own confidential information and respecting the privacy and confidential information of others. Members may not intentionally view, record, photograph, disclose, or misuse another person’s confidential information.
The Study is not responsible for the disclosure, interception, loss, or theft of a Member’s business, personal, or confidential information.
13. No Business, Legal, or Professional Relationship
Membership does not create a partnership, joint venture, employment relationship, agency relationship, landlord-tenant relationship, or other fiduciary relationship between the Member and DJJ LG15 LLC.
The Member has no authority to bind DJJ LG15 LLC, The Study, Second Story, the property owner, or any affiliated entity.
The Study does not endorse or guarantee any Member’s business, services, products, qualifications, financial condition, or professional advice.
14. No Lease or Tenancy
This Agreement grants only a revocable license to use shared common areas during authorized hours. It is not a lease, sublease, rental agreement, or grant of any interest in real property.
The Member does not receive exclusive possession of any portion of the premises and may not use the premises as a residence. The Member may not list the premises as a business address, mailing address, registered-agent address, licensing address, or principal place of business without prior written approval.
15. Assumption of Risk
The Member understands that using a shared hospitality and workspace environment involves ordinary risks, including slips, falls, illness, exposure to food allergens, interaction with other people, theft, property damage, equipment failure, and other foreseeable or unforeseeable risks.
To the fullest extent permitted by California law, the Member voluntarily assumes the ordinary risks associated with entering and using the premises and participating in activities there.
Members with food allergies or other medical needs are responsible for making appropriate inquiries and taking necessary precautions. The Study does not guarantee an allergen-free environment.
16. Release and Limitation of Liability
To the fullest extent permitted by California law, the Member releases DJJ LG15 LLC, The Study at Second Story, Second Story, the property owner, and each of their respective members, managers, employees, contractors, agents, affiliates, successors, and assigns from claims arising from the ordinary risks of using the premises or from the acts or omissions of other members, guests, or third parties.
Nothing in this Agreement releases or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be released or limited under California law.
To the fullest extent permitted by law, DJJ LG15 LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, lost data, or business interruption.
To the fullest extent permitted by law, DJJ LG15 LLC’s total liability arising from a Member’s membership will not exceed the membership fees actually paid by that Member during the three months immediately preceding the event giving rise to the claim. This limitation does not apply where prohibited by law.
17. Member Responsibility and Indemnification
To the fullest extent permitted by law, the Member agrees to indemnify, defend, and hold harmless DJJ LG15 LLC, The Study at Second Story, Second Story, the property owner, and their respective members, managers, employees, contractors, agents, and affiliates from third-party claims, damages, liabilities, losses, fines, penalties, and reasonable legal expenses arising from:
The Member’s or the Member’s guest’s negligent, unlawful, or wrongful conduct; A violation of this Agreement or the house rules; Damage to property caused by the Member or guest; The Member’s business activities, products, services, employees, contractors, or clients; or Infringement or violation of another person’s rights.
This provision does not require the Member to indemnify any party for that party’s gross negligence, willful misconduct, or other conduct for which indemnification is prohibited by law.
18. Damage and Cleaning Charges
The Member is responsible for the reasonable cost of repairing or replacing property damaged by the Member or guest beyond ordinary wear and tear.
The Member may also be responsible for reasonable extraordinary cleaning, remediation, credential-replacement, chargeback, or other costs caused by the Member’s or guest’s actions, where permitted by law. Before charging the payment method on file for such costs,
The Study will provide notice describing the charge and its basis, except where immediate action is reasonably necessary to protect the premises or other persons.
19. Suspension and Termination
The Study may suspend or terminate membership immediately for:
Nonpayment or chargeback;
Sharing or misusing an access credential;
Allowing unauthorized entry; Illegal, unsafe, threatening, discriminatory, harassing, or disruptive behavior; Material or repeated violation of this Agreement or house rules;
Damage, theft, or misuse of property;
Misrepresentation during enrollment; or
Conduct that reasonably threatens the safety, security, reputation, licensing, or operation of the premises.
If membership is terminated for cause, fees already paid are nonrefundable to the fullest extent permitted by law. The Study may also discontinue a membership or the membership program for legitimate business reasons. If The Study terminates an individual membership without cause before the end of a paid billing period, it will provide a prorated refund for the unused portion of that period unless the Member is permitted to continue using the membership through the end of the paid period.
Sections intended by their nature to survive termination—including payment obligations, liability limitations, indemnification, property-damage responsibility, and dispute provisions—will survive
20. Changes to Pricing or Terms
The Study may modify its membership pricing, hours, benefits, rules, or this Agreement.
Members will receive clear notice of material changes and information explaining how to cancel. Any change to a recurring membership fee will be communicated within the notice period required by California law before the new fee takes effect.
Continued use after the effective date of a properly disclosed change constitutes acceptance to the extent permitted by law. If a Member does not agree to a change, the Member may cancel before the change takes effect..
21. Communications and Notices
The Member consents to receive membership-related communications electronically, including receipts, renewal information, operational notices, closure notices, safety communications, policy updates, and cancellation confirmations.
The Member is responsible for keeping a valid email address and telephone number on file.
Marketing text messages or emails will be sent only to the extent permitted by law and subject to any separate marketing consent. Consent to receive marketing communications is not a condition of purchasing membership.

22. Governing Law and Venue
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules.
Unless the parties separately agree to another lawful dispute-resolution procedure, any legal action relating to this Agreement will be brought in a court of competent jurisdiction located in Santa Clara County, California.
Before filing a legal action, the parties agree to make a good-faith attempt to resolve the dispute informally by providing written notice and allowing at least 30 days for a response, except when immediate relief is reasonably necessary.
Nothing in this section prevents either party from bringing an eligible claim in small claims court.
23. General Provisions
This Agreement, the enrollment disclosures, and any incorporated house rules constitute the entire agreement concerning the membership.
If any provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
A failure to enforce any provision on one occasion is not a waiver of the right to enforce it later.
The Member may not assign or transfer this Agreement. DJJ LG15 LLC may assign this Agreement in connection with a sale, reorganization, change of operator, or transfer of the membership program, subject to applicable law.
Headings are included for convenience and do not alter the meaning of the Agreement.
Electronic acceptance and electronic signatures have the same effect as original signatures.
24. Member Acknowledgment and Acceptance
By signing below or electronically checking the acceptance box, the Member acknowledges and agrees that:
The membership automatically renews monthly until canceled;
The payment method on file will be charged each month;
The Member may cancel at any time before the next billing date to prevent the next charge;
Membership fees are not prorated or refunded for partial months or unused access;
Operating hours and availability may change, including for private events and buyouts;
Membership provides a revocable license and does not create a lease or tenancy;
The Member is responsible for the conduct of their guests; and
The Member has read and agrees to this entire Agreement.
